Our company agrees to provide backend development and related technical services according to the approved project scope, milestones, and timelines.
All commercial proposals remain valid for thirty (30) calendar days unless otherwise specified in writing.
If a proposal is not accepted within this timeframe, we reserve the right to revise pricing, timelines, technical recommendations, or staffing availability before issuing an updated proposal.
Invoices are payable within five (5) business days from the invoice issue date unless otherwise agreed in writing.
Payments shall follow the milestone schedule, monthly engagement structure, or billing terms described in the project documentation.
Failure to complete payments on time may result in delays, suspension of work, or limited access to deliverables until outstanding balances are resolved.
All requests to modify the approved project scope must be submitted in writing for review.
We will evaluate requested changes and provide details regarding additional costs, technical impact, timeline adjustments, or resource requirements.
Small updates or revisions may be completed under standard hourly billing rates without requiring a separate agreement.
Significant functionality expansions, infrastructure redesigns, additional integrations, or architectural modifications may require a revised proposal or additional agreement before implementation.
Updated proposals related to scope modifications should be approved within fourteen (14) business days to maintain project continuity.
The client agrees to provide timely approvals, access credentials, project materials, feedback, and requested information.
Project timelines may be extended if delays occur due to incomplete information, delayed responses, or missing approvals from the client.
If delays arise due to internal circumstances, we will notify the client promptly and provide updated delivery expectations.
Neither party shall be liable for delays caused by circumstances beyond reasonable control, including natural disasters, infrastructure failures, labor disputes, cyber incidents, internet outages, government actions, or force majeure events.
Deliverables are reviewed and tested using commercially reasonable industry standards before submission to the client.
The client has seven (7) business days to review deliverables and either approve them or provide written feedback identifying any issues.
Where reasonable revisions are required, we will make corrections and resubmit the deliverables for additional review.
If no written feedback is received within the review period, the deliverables may be considered accepted.
The client agrees to:
Additional work caused by incomplete, inaccurate, or delayed information may result in additional billing.
Unless otherwise agreed, our company may place a discreet attribution reference within technical documentation or project materials.
We reserve the right to display completed projects, technical summaries, backend architecture examples, screenshots, or case studies within portfolios, presentations, company websites, or promotional materials unless restricted by confidentiality obligations.
Both parties may reference the cooperation relationship in a factual and professional manner unless restricted by separate written agreement.
Both parties agree to protect confidential technical, commercial, operational, and business information shared during cooperation.
Confidential information shall not be disclosed to third parties except where necessary for project execution, legal compliance, or authorized operational purposes.
Information shall not be considered confidential if it:
Our company operates as an independent contractor. Nothing within this agreement creates a partnership, employment relationship, agency relationship, or joint venture.
We may engage subcontractors, consultants, or technical specialists while remaining responsible for the agreed deliverables.
Both parties remain free to cooperate with other clients, contractors, vendors, or service providers.
All services are provided on an “as available” and “as is” basis unless expressly agreed otherwise.
To the maximum extent permitted by law, our company shall not be liable for indirect, incidental, consequential, special, or financial damages, including business interruption, lost revenue, lost profits, or loss of data.
Any liability related to the provided services shall be limited to the total amount paid by the client for the affected services.
Upon full payment, the client receives a non-exclusive, perpetual right to use the final deliverables for agreed business purposes.
The client may not redistribute, reverse engineer, extract, or commercially reuse proprietary frameworks, reusable backend systems, deployment methods, or internal technical resources without written authorization.
Our company retains ownership of all pre-existing methodologies, reusable code libraries, deployment systems, workflows, and internal technical assets used during project execution.
Additional maintenance, troubleshooting, monitoring, infrastructure optimization, updates, or post-launch support services may be provided under separate agreements or billed at standard service rates.
Support obligations become void if unauthorized third parties modify the deliverables or infrastructure.
We reserve the right to revise or update these Terms and Conditions at any time.
Updated versions will be published on this page, and continued use of the website or services constitutes acceptance of the revised terms.
